Most businesses have all kinds of commercial information and documents that they wish to keep confidential. This is increasingly the case given the importance of intellectual property and technical knowledge to many modern businesses. However, it is often necessary for a business to work with third parties, such as sub-contractors or marketing companies, and for commercially sensitive information to be made available as part of a project.


Before any confidential information is passed on, it is essential that a confidentiality agreement (sometimes called a non-disclosure agreement) is prepared and signed by all parties. The agreement should carefully outline the reasons why the information is being provided and limit the way in which it can be used and by whom.
